An amendment to the articles of association (modificación de estatutos sociales) is the process by which a company changes, adapts or updates the rules governing its organisation, operation and internal relationships, as set out in its articles of association. The articles are the legal basis that regulates key aspects of the company such as its corporate purpose, duration, capital, management bodies, and the rights and obligations of its members, among others.

For these changes to be valid with regard to third parties, they must be formalised by public deed (escritura pública) executed before a notary and registered at the relevant Companies Registry (Registro Mercantil).

Why amend the articles of association?

  • To adapt the company to new circumstances or market needs
  • To comply with new legal or tax regulations
  • To change the structure, management or rules applying to members
  • To change the corporate purpose or extend the company's activities
  • To adjust the share capital, registered office, duration or internal rules

What does the notary do when the articles are amended?

  1. Reviews the resolution passed by the General Meeting or the competent body
  2. Drafts and authorises the public deed containing the amendment to the articles
  3. Verifies the identity and capacity of the parties executing the deed and that all legal formalities are met
  4. Attests to the express wishes of the members and the lawfulness of the procedure
  5. Facilitates registration of the amendment at the Companies Registry

Common types of amendments to the articles

  • Change of registered office
  • Change of corporate purpose
  • Increase or reduction of share capital
  • Change in the form or structure of the management body
  • Extension or reduction of the company's duration
  • Changes to rights, duties, or the procedures for calling meetings and taking decisions
  • The amendment must be approved in accordance with the Spanish Companies Act (Ley de Sociedades) and the articles themselves
  • Specific quorums and majorities are required depending on the matter being amended
  • It must be registered at the Companies Registry in order to take effect with regard to third parties
  • Depending on the change, it may require notification to the Spanish Tax Agency (Hacienda) and other bodies

An amendment to the articles of association only becomes fully valid and legally effective once it has been formalised in a notarial public deed and registered at the Companies Registry, ensuring transparency and legal certainty in corporate relationships.
